Attention: AT&T Shareholders

CWA members who hold shares of AT&T stock are asked to support CWA’s position on several proposals when you receive your proxy materials for the upcoming shareholder meeting set for July 10. At that meeting, to be held in Charleston, S.C., shareholders will act on the pending merger of AT&T Broadband and Comcast along with other matters.

CWA is still studying issues surrounding the Broadband-Comcast merger, and at CWA News press time the union had not taken a final position on whether to endorse or oppose the merger. However, when you receive this issue of CWA News, please go to our ATTinsider web site to check CWA’s latest position and read further information about the shareholder proposals. Meanwhile, we ask that you vote as follows on the following shareholder proposals when you mark your mail-back proxy card:

  • Vote “FOR” Proposal 11 — “Severance Contracts.” This proposal was submitted by CWA. It would require majority shareholder approval of “golden parachute” severance contracts with senior executives which are contingent upon a change of control of the corporation.

  • Vote “FOR” Proposal 12 — “Executive Compensation.” This proposal was submitted by CWA member Gerald Souder. It calls on the board of directors to exclude income from the over-funded pension plan from the calculation of executive compensation.

  • Vote “AGAINST” Proposal 8 — “Amend Equal Opportunity Statement.” This proposal would remove the words “sexual preference or orientation” from AT&T’s Equal Opportunity Statement, thus weakening the company’s anti-discrimination policies.
